Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services offered by Trevillyan Labs, Inc. (“NewsNook,” “we,” “us,” or “our”) under the NewsNook brand (collectively, the “Services”).

By creating an account, connecting an email provider, paying for a subscription, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not use the Services.


2. Eligibility

You must be at least 18 years old and able to form a binding contract. The Services are not intended for children under 13 (or the minimum age required in your region). If you are between 13 and 18, you may only use the Services with parental or guardian consent where required by law.


3. Accounts and security

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly at support@trevillyanlabs.io if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms or pose a security risk.


4. Description of the Services

NewsNook provides tools to connect an email account (for example, Gmail via OAuth), sync and organize newsletter-style messages, read and search content within the app, and use AI-assisted features such as summaries and in-product assistance based on content available to the Services.

The Services evolve. We may add, change, or discontinue features. We will try to provide reasonable notice for material adverse changes where practicable.

No email provider affiliation: Gmail and Google are trademarks of Google LLC. NewsNook is not endorsed by or affiliated with Google. Your use of Gmail is also subject to Google’s terms and policies.


5. Email connections and user data (including Gmail)

When you connect an email account, you authorize NewsNook to access and process messages and metadata as permitted by the OAuth scopes you approve and as needed to provide the Services.

You represent that you have the right to connect the account and that doing so does not violate any agreement (for example, your employer’s IT or acceptable-use policy).

Limited use (Google): Our use of data obtained via Google APIs complies with the Google API Services User Data Policy, including Limited Use requirements. We do not use Gmail data to serve unauthorized advertising or sell email content.

You may disconnect an account or revoke access through your Google account settings and/or in-app controls where available.


6. AI features and accuracy

Certain features use artificial intelligence and machine learning services. AI outputs may be incorrect, incomplete, or outdated. They are provided for assistance only and are not professional advice (legal, financial, medical, or otherwise).

You are responsible for how you rely on AI outputs. Do not submit highly sensitive personal data or regulated data (for example, health records, government IDs) into the Services unless you have confirmed with us that such use is appropriate.


7. Acceptable use

You agree not to:

  • Violate law or third-party rights.
  • Attempt to gain unauthorized access to the Services, other users’ data, or our systems.
  • Use the Services to distribute malware, spam, or harass others.
  • Reverse engineer, scrape, or overload the Services except as permitted by law.
  • Use the Services to train competing models on our software or non-public interfaces without our written consent (your content may be processed by our subprocessors solely to provide the Services, as described in the Privacy Policy).
  • Misrepresent your identity or affiliation.

We may investigate violations and cooperate with law enforcement where appropriate.


8. Subscriptions, fees, and billing

Paid features may require a subscription processed by our payment provider (Stripe). By subscribing, you agree to Stripe’s terms and to pay applicable fees and taxes.

  • Billing cycle: Fees are charged on the schedule shown at checkout (for example, monthly).
  • Price changes: We may change prices with reasonable advance notice where required by law.
  • Cancellation: You may cancel through the billing portal or as described in the app. Cancellation typically takes effect at the end of the current billing period unless stated otherwise.
  • Refunds: Unless required by law or expressly stated at purchase, fees are non-refundable.

Failure to pay may result in suspension or termination of access to paid features.


9. Intellectual property

Our property: The Services, including software, branding, documentation, and our content (excluding your content), are owned by Trevillyan Labs, Inc. or our licensors and are protected by intellectual property laws.

Your content: You retain rights to content you submit or sync. You grant NewsNook a non-exclusive, worldwide, royalty-free license to host, process, reproduce, display, and create derivative works (such as summaries) solely to operate, improve, and provide the Services to you, including using subprocessors as described in our Privacy Policy.

Feedback: If you provide feedback or suggestions, we may use them without obligation to you.


10. Third-party services

The Services may integrate with third parties (for example, Google, Stripe, hosting providers). Your use of those services may be subject to their terms. We are not responsible for third-party services.


11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that AI outputs will be accurate or reliable.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the fullest extent permitted.


12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NEITHER NEWSNOOK NOR ITS AFFILIATES, SUPPLIERS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO NEWSNOOK FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) [USD $100 — adjust with counsel].

These limitations do not apply where prohibited by law (for example, liability for gross negligence, willful misconduct, or death/personal injury caused by negligence, where applicable).


13. Indemnity

You will defend and indemnify NewsNook and its affiliates, officers, directors, employees, and agents against any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms, except to the extent caused by our material breach or willful misconduct.


14. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, if we must comply with law, or if we discontinue the Services (with notice where reasonable).

Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.

Data: Deletion and retention are described in our Privacy Policy. After account deletion, we may retain certain records as required by law.


15. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Exclusive venue for disputes will be the state and federal courts located in Santa Clara County, California, except that either party may seek injunctive relief in any court of competent jurisdiction.

If you are a consumer in the EEA/UK: Mandatory consumer protection laws in your country may apply, and you may have the right to bring proceedings in your country of residence.


16. Export

You may not use the Services in violation of export control or sanctions laws.


17. Changes to these Terms

We may modify these Terms by posting an updated version and updating the “Last updated” date. For material changes, we may provide additional notice (for example, email or in-app). Your continued use after the effective date constitutes acceptance unless applicable law requires a different process (for example, explicit consent for certain changes to consumers).


18. Miscellaneous

  • Entire agreement: These Terms and the Privacy Policy (and any order form or supplemental terms we provide) constitute the entire agreement regarding the Services.
  • Severability: If a provision is unenforceable, the remainder stays in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Independent contractors: Nothing creates a partnership or agency relationship.
